General Terms and Conditions
Article 1 – Purpose
These General Terms and Conditions of Sale (hereinafter "GTC") define the terms under which Michel Rosecchi, operating as a micro-enterprise under the trade name Sunniemu Prod (hereinafter "the Provider"), provides audiovisual production services to his professional or individual clients (hereinafter "the Client").
The services offered by Sunniemu Prod include, but are not limited to:
the design and production of institutional, promotional, or editorial films;
the creation of audiovisual content for internal or external communication;
filming services (camera work, sound recording, drone footage, subject to legal and regulatory authorizations);
post-production services (editing, color grading, graphic design, export);
as well as any related services connected with audiovisual production.
Article 2 – Scope of Application
These General Terms and Conditions of Sale (GTC) apply to all services provided by the Provider, provided that they are the subject of a quote issued by Sunniemu Prod and accepted by the Client.
Any order implies the Client's full and unreserved acceptance of these GTC, to the exclusion of any other document or condition, unless otherwise agreed in writing by the Provider.
These GTC take precedence over any general or specific terms and conditions of the Client, unless expressly agreed otherwise in writing by the Provider.
Article 3 – Contractual Documents
The contract between the Provider and the Client consists, in descending order of priority:
the quote accepted by the Client;
these General Terms and Conditions of Sale;
where applicable, any amendment or written agreement subsequently concluded between the parties.
In the event of any conflict between these documents, the quote accepted by the Client shall prevail over these GTC.
Article 4 – Quote and Contract Formation
4.1 – Quote Preparation and Validity
All services are subject to a written quote prepared by the Provider, specifying the nature of the services, their scope, the financial terms, and, where applicable, the estimated completion time.
Unless otherwise stated, quotes issued by Sunniemu Prod are valid for thirty (30) days from their date of issue.
After this period, the Provider reserves the right to modify the terms of the quote.
4.2 – Quote Acceptance
The quote is deemed accepted when it is:
signed by hand or electronically by the Client,
or
expressly confirmed by return email, without reservation.
Any acceptance of the quote constitutes a firm and final commitment by the Client and implies unreserved acceptance of these General Terms and Conditions.
4.3 – Contract Formation
The contract is formed on the date the Provider receives the quote accepted by the Client.
From this date, any request to modify the initial scope of services must be the subject of a written agreement between the parties and, if applicable, an amendment to the initial quote.
4.4 – Deposit
Depending on the nature of the service and the expenses incurred (including equipment rental, mobilization of third-party providers, travel, or specific authorizations), the Provider may request a deposit, the amount and terms of which will be specified in the quote.
If applicable, the performance of the service may be conditional upon receipt of this deposit.
Article 5 – Description of Services
5.1 – General Principle
The exact content, nature, and scope of the services provided by the Provider are defined exclusively in the quote accepted by the Client. Any service not expressly mentioned in the accepted quote is deemed excluded and may, if necessary, be subject to a supplementary quote or an addendum.
5.2 – Services Including Filming
When the service includes filming, it is carried out in accordance with the terms specified in the quote, particularly with regard to:
the duration of filming, generally expressed in half-days,
the planned camera, sound, and lighting equipment,
any preparation or location scouting phases,
travel necessary for the completion of the service.
Unless otherwise stated in the quote, any additional half-day, hour of filming, or intervention requested by the Client or made necessary by exceeding the initial scope will be subject to additional billing.
5.3 – Post-Production Services Without Filming
When the service relates exclusively to post-production, it is carried out using the materials provided by the Client. Unless otherwise stated in the quote, post-production services include two (2) rounds of revisions or change requests.
